1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. We recommend that you review these Terms periodically, as we may update them from time to time.

2. Description of the Service

Reelflip is a four-sided online marketplace platform designed to connect professionals in the film, television, and video game industries. The platform facilitates interactions between four primary user groups: Talent, Agencies, Productions, and Capital Partners.

The Service enables profile creation, advanced search and filtering, direct messaging, roster management for agencies, project posting, and professional networking within the entertainment industry. Users may increase their visibility in search results through earned Boost Credits via the referral program or by subscribing to a paid Profile Boost.

3. User Accounts, Eligibility, and User Types

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service. By registering, you represent that all information you provide is accurate and complete.

Reelflip offers four primary account types:

Talent & Crew: Free registration. Users may create professional profiles highlighting experience, credits, reels, and attributes.
Capital Partners: Free registration. Users may browse projects actively seeking funding that have verified talent attached.
Productions: Requires a paid monthly subscription to access full search, filtering, and messaging capabilities.
Agencies: Free basic access to list and promote talent. Paid subscription tiers, including Pro and Enterprise, unlock unlimited profiles, featured placement, lead notifications, and advanced management tools.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Fees, Subscriptions, and Payment Processing

Subscription Fees: Productions pay a flat monthly subscription fee, currently $49 USD or the then-current published price. Agencies may upgrade from the free tier to paid plans for additional features. Current pricing is displayed during the signup process and in account settings.

Payment Processor - Stripe: All payments for subscriptions are processed securely by Stripe, Inc. By providing payment information or subscribing to a paid plan, you agree to be bound by Stripe's Terms of Service and Privacy Policy. Reelflip does not store your full credit or debit card information on its servers.

Billing, Auto-Renewal, and Cancellation: Paid subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date through your account settings. You will retain access to paid features until the end of the then-current paid period. No prorated refunds are issued for partial billing periods or unused time after cancellation. We reserve the right to modify subscription pricing with reasonable advance notice to affected users.

Profile Boost Subscription: In addition to earning free Boost Credits through the referral program, users may subscribe to a paid Profile Boost for $9.99 per month. This subscription provides enhanced visibility in search results for a 30-day period and automatically renews unless cancelled. This paid boost operates independently of any free Boost Credits earned through referrals. No prorated refunds are provided for partial periods.

5. Referral Program and Boost Credits

Reelflip offers a referral program through which users can earn Boost Credits. When a new user signs up using your unique referral link and successfully completes and publishes their profile, you will receive one Boost Credit. Each Boost Credit entitles you to thirty days of profile boosting, which increases the visibility of your profile in relevant search results.

Boost Credits have no cash value, are non-transferable, and may not be redeemed for cash or other compensation. Reelflip reserves the right, at its sole discretion, to modify, suspend, or terminate the referral program and Boost Credit system at any time. Abuse of the referral program, including but not limited to creating fake accounts, self-referring, or using automated means to generate referrals, is strictly prohibited and may result in forfeiture of credits and account termination.

6. User Content and Licenses

You retain all ownership rights in the content you upload to the Service, including profile information, photos, reels, credits, bios, and other materials. By uploading User Content, you grant Reelflip a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, and use such content solely as necessary to operate, maintain, and improve the Service and to promote the platform.

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and share your User Content and that it does not infringe the intellectual property, privacy, or other rights of any third party.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Creating fake, misleading, impersonating, or duplicate profiles.
Misrepresenting your professional credits, experience, representation status, or relationship with any talent.
Spamming, harassing, or sending unsolicited commercial messages to other users.
Scraping, crawling, or using automated tools to access or extract data from the Service without prior written authorization.
Posting or transmitting illegal, defamatory, obscene, or infringing content.
Violating any applicable local, state, national, or international law or regulation.
Interfering with the security, integrity, or performance of the Service.
Abusing the referral program or Boost Credit system, including creating fake accounts, self-referring, or using automation to farm credits.

8. Verification, Safety, and Account Suspension

To maintain a high-quality and trustworthy marketplace, Reelflip may require users to complete identity and/or professional verification, for example government ID upload combined with review of credits or reels. We reserve the right, at our sole discretion, to suspend, restrict, or permanently terminate any account that fails verification, provides false information, or violates these Terms.

9. No Guarantees; Nature of the Platform

Reelflip is a facilitation and discovery platform only. We do not guarantee that you will obtain work, secure funding, hire suitable talent, or achieve any specific business outcome through the Service. Reelflip does not endorse any user, project, or talent.

We are not a party to, and have no responsibility or liability for, any agreements, transactions, payments, collaborations, or disputes that arise between users of the Service. Any hiring, representation, investment, or collaboration decisions are made solely at your own risk and discretion.

10. Intellectual Property

All rights, title, and interest in and to the Service, including its software, design, text, graphics, logos, and trademarks, are owned by or licensed to Reelflip and its affiliates. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.

11. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or conduct that we reasonably believe harms the Service or other users.

12. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Reelflip, VerticalOS, Inc., and their officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, data, use, goodwill, or other intangible losses, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Texas, and you hereby consent to the personal jurisdiction and venue therein.

14. Changes to These Terms

We reserve the right to modify or update these Terms at any time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.
